Terms of Service

Important: These Terms govern your use of Ringinx services. By using the Services, you agree to these Terms.

1. Agreement to Terms

These Terms of Service ("Terms") are an agreement between you ("Customer", "you") and Ringinx, Inc. ("Ringinx", "we", "us"). By accessing or using our websites, applications, and services (collectively, the "Services"), you agree to be bound by these Terms.

2. Eligibility and authority

You represent that you are at least the age of majority and have authority to bind your company or organization to these Terms.

3. Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity occurring under your account.
• You must provide accurate information and keep it updated.

4. Connected services

The Services may allow you to connect third-party platforms (for example, cloud providers, communication tools, or commerce platforms). Your use of those platforms is governed by their own terms and policies. You authorize us to access and process data from connected platforms as permitted by the permissions and scopes you grant.

You can revoke access at any time through the third-party platform's settings and/or within the Services.

5. Acceptable use

You agree not to:

• Use the Services in violation of any law or regulation.
• Access or attempt to access data you are not authorized to access.
• Interfere with or disrupt the Services (including probing, scanning, or testing vulnerabilities without permission).
• Reverse engineer, decompile, or attempt to extract source code except to the extent permitted by law.
• Use the Services to transmit malware or harmful code.
• Use the Services to generate or distribute material that violates the rights of others or applicable law.

6. Customer data and content

As between you and Ringinx, you retain ownership of your data and content you submit to the Services ("Customer Data"). You grant Ringinx a limited license to host, copy, process, and transmit Customer Data only as necessary to provide and improve the Services and as otherwise permitted by these Terms and our Privacy Policy.

7. AI processing

The Services use AI models, including models provided by third-party model providers operating as our sub-processors. Customer Data submitted to those providers is processed under their respective API data usage policies. We will not knowingly permit Customer Data to be used to train third-party models.

8. Intellectual property

Ringinx and its licensors retain all rights, title, and interest in and to the Services, including all related intellectual property. These Terms do not grant you any rights to Ringinx trademarks or branding except as expressly permitted.

9. Fees

If you purchase paid Services, you agree to pay the fees described in your order form, subscription page, or written agreement. Unless otherwise stated, fees are non-refundable and exclusive of taxes.

10. Suspension and termination

We may suspend or terminate access to the Services if we reasonably believe you have violated these Terms, pose a security risk, or if required by law. You may stop using the Services at any time.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, RINGINX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL RINGINX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RINGINX'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO RINGINX FOR THE SERVICES IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR $100 IF YOU HAVE NOT PAID ANY AMOUNTS, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold harmless Ringinx from claims arising out of your use of the Services, your Customer Data, or your violation of these Terms, to the extent permitted by law.

14. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Venue for any dispute will be in Alameda County, California, unless otherwise required by law.

15. Changes to Terms

We may update these Terms from time to time. We will update the "Last updated" date above. If changes are material, we may provide notice through the Services or by email. Continued use of the Services after changes become effective means you accept the updated Terms.
